Terms of Service

These Terms of Service ("Terms") govern your access to and use of OpenABG (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use OpenABG. By creating an account, you represent that:

• You are 18 or older.
• You can form a binding contract with us.
• You are not prohibited from using the Service under any applicable law.
• The information you provide is accurate and complete.

2. Account

You are responsible for keeping your account credentials confidential. You agree to notify us immediately at hello@openabg.com if you suspect any unauthorized use of your account. You are responsible for all activity that occurs under your account.

You may only create one account per person. Accounts are not transferable.

3. The Service

OpenABG is an AI-powered conversation assistant that:

• Generates conversational openers based on user-provided scenarios ("Openers").
• Analyzes user-uploaded photos of venues or social scenes and returns observations and openers ("Vibe Check").
• Stores your generated content in a per-user archive.

Both features rely on large language models provided by Anthropic. We do not guarantee the accuracy, reliability, originality, or outcome of any AI-generated content.

4. Credits and Purchases

OpenABG operates on a credit-based model:

• Each Opener consumes 1 credit.
• Each Vibe Check consumes 9 credits.
• Credits are purchased in packs via Stripe.
• Credits are non-transferable, have no monetary value outside the Service, and do not expire under normal account activity.

By purchasing a credit pack, you authorize us (via Stripe) to charge your payment method for the amount of the pack plus any applicable taxes.

5. Refunds

All credit purchases are final and non-refundable, except in the following cases:

• Credits were charged to your card but never delivered to your account.
• A demonstrable Service failure prevented you from using the credits as intended.

We automatically refund credits to your in-app balance when an AI generation fails due to a server error or the AI model refuses for policy reasons. We do not refund credits for generations you didn't like, didn't use, or didn't choose to send.

To request a refund for a payment, email hello@openabg.com within 14 days of the purchase with the Stripe transaction ID.

6. Acceptable Use

You agree not to:

• Use the Service to harass, threaten, defame, intimidate, or harm any person.
• Upload photos that identify specific individuals without their consent.
• Upload illegal content, including child sexual abuse material, non-consensual intimate imagery, content depicting violence, or content that violates any law.
• Use the Service to generate content intended to deceive, manipulate, or coerce others.
• Use the Service to violate any law, regulation, or third party's rights.
• Reverse-engineer, scrape, or attempt to extract our prompts, system instructions, or model behavior.
• Resell, sublicense, or commercially exploit the Service or its outputs without our prior written permission.
• Create multiple accounts, abuse promotional credits, or circumvent rate limits.
• Attempt to disrupt, probe, or undermine the security of the Service.

Violations may result in immediate account suspension or termination without refund.

7. User Content

You retain ownership of:

• The scenarios you describe (text inputs).
• The photos you upload.
• Any other content you submit.

By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to process, store, transmit, and use that content as necessary to provide and improve the Service. This license terminates when you delete the content or your account, except as required to comply with law or to resolve a dispute.

You represent that you have all rights necessary to submit the content and that doing so does not infringe any third party's rights.

8. AI-Generated Content

Outputs produced by the Service are generated by AI models and are:

• Provided "as is" without any guarantee of accuracy, originality, or suitability.
• Yours to use, modify, or share as you see fit.
• Subject to occasional refusals when the AI deems content outside its design parameters.

You are solely responsible for how you use AI-generated content. We are not responsible for the outcome of any conversation, approach, or interaction you initiate using outputs from the Service.

You acknowledge that:

• Outputs may be similar to those generated for other users.
• We do not claim copyright over outputs and cannot guarantee you can either.
• Outputs may reflect biases or limitations of the underlying AI model.

9. Third-Party Services

The Service uses third-party providers to function:

• Anthropic — AI processing
• Stripe — payment processing
• Supabase — database, authentication, and file storage
• Vercel — hosting

Each has its own terms and privacy practices. Your use of OpenABG involves your data passing through these services as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE MAKE NO WARRANTY THAT:

• AI-GENERATED CONTENT WILL BE ACCURATE, USEFUL, OR APPROPRIATE.
• ANY CONVERSATION OR APPROACH INITIATED USING THE SERVICE WILL HAVE ANY PARTICULAR OUTCOME.
• THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD $50.

WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, PERSONAL INJURY, EMOTIONAL DISTRESS, OR REPUTATIONAL HARM ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY AI-GENERATED CONTENT.

This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise), even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold us harmless from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third party's rights, including privacy rights.
• The content you submit to the Service.
• Your conduct in any interaction you initiate using outputs from the Service.

13. Termination

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or if we discontinue the Service.

You may terminate your account at any time by contacting hello@openabg.com.

Upon termination:

• Your access to the Service ends immediately.
• Unused credits are forfeited and not refunded.
• Your stored content (archive, uploaded photos, account record) is deleted within 30 days, except as required for legal, accounting, or fraud-prevention purposes.

Sections that by their nature should survive termination (Sections 7–14, 16, 17) will survive.

14. Dispute Resolution; Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration administered by JAMS in accordance with the JAMS Streamlined Arbitration Rules. The seat of arbitration is Cheyenne, Wyoming; hearings may be conducted in person or by remote video conference at the arbitrator's discretion.

You may bring qualifying claims in small claims court instead, if eligible.

Class action waiver: You agree to resolve disputes individually and waive any right to participate in a class action, class arbitration, or representative proceeding.

If arbitration or the class waiver is found unenforceable in your jurisdiction, the dispute will be brought in the state or federal courts located in Laramie County, Wyoming, and you consent to the personal jurisdiction of those courts.

You may opt out of this arbitration agreement by emailing hello@openabg.com with the subject "Arbitration Opt-Out" within 30 days of creating your account. Opting out will not affect any other part of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email at least 7 days before they take effect. Continued use after changes take effect constitutes acceptance.

The "Last updated" date at the top reflects the most recent revision.
